THE CAPTAIN The captain has complete control of the vessel's course and passengers' conduct as necessary for safety. - 2. DAMAGES Damages to the vessel's furnishings and equipment are liable to the Charterer. - 3. TIME If the vessel does not sail for any reason beyond our control, the party is dockside, and 15% of the charter event fees are refunded. Delays in departure on behalf of us would incur extension to the cruise time as compensation for the loss of time. Additional time is not applicable if the Charterer requests a delay in departure. - 4. INSURANCE we provide general liability insurance coverage amounting to $1,000,000. - 5. INTOXICATION we reserve the right to refuse service of alcohol beverages purchased by the Charterer to any guest or subcontractors of the Charterer under the age of 21 or severely intoxicated. - 6. CANCELLATION If the Charterer must cancel, any paid monies are forfeited and, if the date of the cruise date is less than 90 days from the event date, the Charterer is liable for the pending balances in this agreement. We reserve the right to cancel this contract, pending approval of tickets and flyers for correct information, including boarding time, sailing times, event dates, and locations. We have the right to end or renegotiate this agreement and any additional agreements in light of any dispute, argument, or disorderly conduct caused by the Charterer or its patrons. We reserve the right to cancel this contract and the agreed performance before or during the event if the Charterer or its patrons do not follow rules and regulations mandated by us, the State, and the City of New York. - 7. EXCUSED NONPERFORMANCE We are excused for non-performance in cases including but not limited to strikes, labor disputes, accidents, government requisitions, restrictions or regulations on travel, vessel operation, commodities or supplies, acts of war or acts of God. In no event will we be liable for/and consequential damages of any nature for any reason whatsoever. If the vessel hereunder is not available for the agreed Charter, we may substitute with another vessel comparable to the quality of the reserved vessel, and the Charterer agrees to accept such substitution. - 8. UNLAWFUL ACTIVITIES Gambling activities, the use of drugs, disrobing, or any unlawful activities are expressly prohibited. Violation of this provision by the Charterer or its guest shall be grounds for immediate termination of the Charter and return to the pier. - 9. INDEMNIFICATION To the extent permitted by law, the Charterer agrees to protect, indemnify, and defend us, along with its respective employees and agents, against all claims, losses, and damages to person or property, governmental charges or fines (including reasonable attorney's fees) arising out of or connected with, the Charter including, but not limited to, the installation, removal or use of any displays or decorations of the vessel or any part thereof by Charterer or any guest, invite or agent of Charterer or any independent contractor hired by the Charterer, except those claims arising out of the sole negligence or willful misconduct of us. - 10. PROMOTERS Promotional charters may require insurance naming us as additional insured. - 13. PANDEMICS In the case of a pandemic, like COVID-19, we are excused for non-performance and the charterer is allowed to reschedule up to a year from the original event date with no rescheduling penalty fees. - 14. CREDIT CERTIFICATES are non refundable and valid for use before the set expiration date. - 15. COVID-19 The Charterer agrees to the terms and conditions set by our COVID-19 Agreement. Failure to comply with the terms of this agreement, we reserve the right to cancel this agreement and the chartered event before or during its performance.
